In accordance with the Bar Council of India Rules on advertising and solicitation, the information made available through Clauselab and through any linked pages authored by the Publisher is provided for general informational and educational purposes only. It is not intended to be, and should not be construed as, legal advice, solicitation of work, or advertisement of legal services.

By accessing and using Clauselab, you acknowledge that:

  • there has been no advertisement, solicitation, invitation, or inducement of any sort from the Publisher or any member of the legal profession to create an attorney-client relationship through this Service;
  • you are accessing the Service of your own volition and for your own information and use;
  • any information obtained or content downloaded from the Service is entirely at your own volition, and any transmission, receipt, or use of the Service is not intended to, and will not, create any attorney-client relationship between you and the Publisher;
  • the Publisher is not liable for any consequence of any action taken by the User relying on material or information published on this website.

2. Not legal advice

Clauselab is a workspace tool. The clauses, templates, AI-generated output, and any other legal or quasi-legal content made available through it are general starting points that have not been tailored to your specific facts, transaction, counterparty, industry, or jurisdiction. They are not, and are not a substitute for, legal advice from a qualified lawyer in your jurisdiction. You should not act, or refrain from acting, on the basis of any content in the Service without first obtaining independent legal advice.

3. No attorney-client relationship

Your use of the Service does not create an attorney-client relationship between you and the Publisher. No duty of confidence, care, or representation arises from your use of the Service. The Publisher is not your lawyer in connection with the Service. If you wish to engage the Publisher in a professional capacity, you must do so through a separate, formal engagement and retainer, in writing, outside of this Service.

4. No confidentiality for content submitted to third-party AI providers

When you use the AI Review feature, the text you submit is transmitted from your browser directly to the AI provider you have selected. That provider's handling of the submitted text is governed by its own terms and privacy policy. The Publisher has no visibility into, and no control over, such handling. You should not submit any content to the AI Review feature that you are under a duty of confidence to protect, including attorney-client privileged communications, trade secrets, or personal data for which you do not have a lawful basis for transfer. If you do so, you do so at your own risk and in your sole discretion.

5. Accuracy and currency

The legal content in the Service, including clause drafts, template provisions, and jurisdiction references, is based on the Publisher's understanding of applicable law at the time of drafting and is subject to change without notice. Law changes. Court interpretations evolve. Regulatory guidance is updated. The Publisher makes no representation that any content in the Service is current, complete, or accurate, or that it remains accurate as of the date you access it. The use of any legal content from the Service in a live transaction without independent verification is at the User's sole risk.

6. AI-generated output

The AI Review feature uses third-party large language models. Such models are probabilistic and can produce output that is inaccurate, incomplete, misleading, or fabricated, including invented citations, incorrect statutory references, and incorrect statements of law. Do not rely on AI-generated output as a statement of law or as a substitute for professional legal judgement. Verify every assertion, citation, and recommendation against primary sources and a qualified lawyer's review before acting on it.

7. Jurisdictional limitations

The Publisher is an Advocate enrolled with the Bar Council of India and is qualified to practice law in India. References in the Service to foreign law (including the GDPR, the laws of England and Wales, Delaware, Singapore, or any other jurisdiction) are provided for general reference only. The Publisher does not hold a licence to practice in any jurisdiction outside India and does not represent that content referencing foreign law is accurate, current, or suitable for use without review by a qualified lawyer admitted in that jurisdiction.

8. No warranty of outcome

The Publisher makes no warranty, express or implied, that the use of any clause, template, or AI output from the Service will achieve any particular legal, commercial, regulatory, or tax outcome, or that any contract assembled using the Service will be enforceable, valid, or adequate for the User's purpose.

9. Third-party links

The Service may contain links to third-party websites, including the Publisher's portfolio, the hosting platform, AI providers, and public legal resources. The Publisher is not responsible for the content, accuracy, privacy practices, or availability of any linked site. Access to such sites is at the User's own risk and subject to the terms of those sites.

10. Limitation of liability

The Publisher disclaims any and all liability for losses or damages, direct or indirect, arising out of the User's use of or reliance on any content made available through the Service, including but not limited to losses arising from: contracts executed based on templates or clauses from the library; decisions made in reliance on AI-generated review output; data loss from browser behaviour or device failure; unauthorised access to API keys or exported backups; or any interruption, delay, or defect in the Service. This clause should be read together with the Limitation of Liability clause in the Terms of Use.

11. Governing law

This Disclaimer is governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this Disclaimer shall be subject to the exclusive jurisdiction of the courts at Indore, Madhya Pradesh, India.

By continuing to use the Service, you acknowledge that you have read, understood, and accepted this Disclaimer in full, together with the Terms of Use and the Privacy Policy.
